Opening the Nomination Process for a Complementary Board Member to Complete the Current Term 2024–2026

In accordance with disclosure and transparency requirements, we are pleased to inform you that the Board of Directors of Combined Group Contracting Company, in its circular meeting held on 19/11/2025 at 2:15 PM, has adopted the following resolutions:

First:

Due to the vacancy of one Board member position, the Board applied the provisions of Article (192) of the Companies Law, whereby the legally elected reserve member was invited to assume the position. The reserve member expressed his apology for not being able to accept the membership at this time due to personal circumstances. The Board approved the apology.

Second:

In light of the foregoing, and in continuation of the procedures stipulated in Article (192) of the Companies Law, the Board of Directors has decided to open the nomination process for a complementary Board member to complete the current term (2024–2026), effective from Thursday, 20/11/2025, for a period of one month, ending at the close of business on Sunday, 21/12/2025. All individuals wishing to nominate themselves for Board membership, and who meet the eligibility requirements prescribed in the Executive Bylaws of the Capital Markets Authority (CMA) Law No. (7) of 2010 and its amendments, the Companies Law, and the Company’s Articles of Association, are requested to submit their nomination applications together with the required documents listed below: 1. A formal nomination letter indicating the capacity under which the applicant seeks nomination (Executive – Non-Executive – Independent), along with a curriculum vitae supported by relevant documents. 2. A copy of the Civil ID and passport. 3. A recent criminal record certificate issued by the General Department of Criminal Evidence at the Ministry of Interior. 4. A “To Whom It May Concern” certificate regarding the legal standing of the candidate, issued by the Capital Markets Authority, including disciplinary sanctions issued by the CMA’s Disciplinary Board, as well as any ongoing investigations. 5. For legal entities, an official letter specifying the name of the designated representative. 6. A statement listing the joint-stock companies in which the candidate currently holds—or previously held—a Board membership position, indicating the shareholder’s name, number of shares, dates of appointment and resignation, and committees served on. 7. For independent candidates, a declaration confirming fulfillment of independence requirements. Nomination applications, together with all required documents, must be submitted to the Secretary of the Board of Directors at the Company's headquarters located in Ardiya Industrial Area, Block (2), Plot (284), State of Kuwait. Applications will be received during the Company’s official working hours (from 8:00 AM to 4:00 PM). Please note that it is not permissible to nominate any candidate for Board membership after the deadline mentioned above, in accordance with Article (1-11-4), Paragraph (3) of Book Twelve (Listing Rules) of the Executive Bylaws of Law No. (7) of 2010 regarding the establishment of the Capital Markets Authority and the regulation of securities activities and its amendments. Attached herewith is the completed Disclosure Form for Material Information (Annex No. 10), prepared in accordance with the requirements of the Capital Markets Authority.
